Use of all or any
Internet Access Services provided by StarBase
Communications Inc. constitutes acceptance of the following
terms and conditions. |

Any network and/or
service provided by StarBase Communications
Inc. may only be used for lawful purposes as defined by the
laws of the Commonwealth of Puerto Rico and the laws of the Federal Government
of the United States of America. Any violation of this term will result in
immediate cancellation of your account and notification of the offence to the
proper authorities. |

Our services are
provided on a monthly basis (however, you are able to subscribe at any time as
we will adjust your first monthly invoice accordingly), although they may be
paid either monthly, quarterly, bi-annually or annually depending upon the
chosen option. |
| 04. |
Payment is due in
advance at the beginning of each service period in US-$. Your account is in
default if payment is not received within five (5) days of the due date. All
accounts in default will be suspended and a $ 10.00 reconnection fee will be
charged. Should your account default you agree to pay StarBase Communications Inc. its
reasonable expenses, including attorney and collection agency fees. |

Checks returned from
your bank cause an immediate suspension of your account; a service charge of $
25.00 for each returned check applies. Accounts suspended due to non-payment do
not relieve you from your obligation to pay for the service. Only a written and signed request to terminate your account
relieves you from your obligation to pay. |

The services may be
cancelled at any time in writing without incurring any penalties or
disconnection charges, however a written and signed
(by the account holder) request to end your account has to reach
StarBase Communications Inc.
There is a minimum of one month billing, which is NOT refundable,
whether the service is utilized or not! |

StarBase Communications Inc. is in no
way responsible for the content or information passing through any of its
networks and specifically denies any responsibility for the accuracy or quality
of information you obtain through its provided networks and/or services. |
| 08. |
StarBase Communications Inc. will not
be responsible for any damage you suffer by data obtained through its networks
and/or services (i.e. downloaded viruses etc.).StarBase Communications Inc. makes no
warranties of any kind, whether expressed or implied, for the service it is
providing. This includes loss of data resulting from delays, non-deliveries,
mis-deliveries or service interruptions caused by its own negligence, power or
telephone company failures, acts of God (i.e. Hurricanes, Tornadoes etc.) or
your errors or omissions.
StarBase
Communications Inc. is not responsible for any long distance
charges to your telephone bill for usage of its networks and/or services. It is
your (the account holder) responsibility to use the correct local number of the
particular town you are using the networks and/or services of
StarBase Communications Inc.

The client shall
indemnify StarBase Communications
Inc. against any claims for infringement of copyright,
unauthorized use of any trademarks, slander, libel and any other claims arising
from any act or omission by you, the client in connection with any of the
services provided by StarBase Communications
Inc. |

StarBase Communications Inc. reserves
the right to terminate the account of anyone deemed to be in violation of
company, commonwealth, or federal laws. This will be done at the company's sole
discretion and shall include cases of misuse or abuse of services as decided by
StarBase Communications
Inc.
StarBase Communications
Inc. reserves the right to disconnect idle dial-up accounts.
StarBase Communications Inc.
reserves the right to inform its clients by e-mail of any special offers or
news. |

These Terms and
Conditions supersede all previous representations, understandings or
agreements. StarBase Communications
Inc. reserves the right to change it's rates and modify these
Terms and Conditions at any time. StarBase
Communications Inc. reserves the right of service. |
